1. PRESENTATION AND PURPOSE

Web3 Consult is a Monaco-based company specializing in the design of immersive experiences, the creation of artistic virtual spaces and the development of innovative digital solutions for the promotion of artists, galleries, businesses and cultural institutions.

These General Terms and Conditions of Sale and Use (hereinafter "GTC/GTU") define the contractual framework applicable to any order, service or use of services offered by Web3 Consult.

Any order, quote validation or use of the site implies full and complete acceptance of these conditions.

2. SCOPE OF APPLICATION

These Terms and Conditions apply to all services offered by Web3 Consult, whether they are performed:

via the website web3-consult.io ,
within the framework of a signed contract or quote,
or through any direct commercial relationship (email, telephone, messaging).

Web3 Consult reserves the right to modify these terms and conditions at any time. The new provisions take effect upon publication and apply to all subsequent services.

3. NATURE OF SERVICES

Web3 Consult acts as a technical, artistic, and consulting service provider , and offers, in particular:

the creation of virtual galleries and personalized metaverses ,
the design of immersive websites and interactive 3D experiences ,
showcasing artists and their works in digital environments,
Web3 strategic training and consulting ,
visual production and digital communication.

⚠️ Web3 Consult is neither a financial platform nor a sales intermediary.

Web3 Consult does not manage any money flows, cryptocurrency payments, or commercial transactions between third parties.

Sales, donations, exchanges or contracts concluded by users in virtual spaces are their sole responsibility.

4. NO GUARANTEE OF SUCCESS

Web3 Consult provides its services with care and professionalism, but does not guarantee any financial, commercial or artistic results.

The company cannot be held responsible for a lack of visibility, insufficient sales, misuse of the tools delivered, or results below customer expectations.

5. ORDERS AND QUOTES

Every order is subject to a written (or electronic) quote detailing the nature of the services, the estimated deadlines, the amount and the payment terms.

Approval of the quote constitutes a contractual agreement .

Web3 Consult reserves the right to refuse any project that is contrary to the law, ethics or its image.

6. PRICES AND PAYMENT TERMS

Prices are expressed in euros, including all taxes.

The payment terms (deposit, balance, due dates) are specified on the quote.

Payment is made exclusively by bank transfer .

No order is considered validated until the required deposit has been received.

Any delay or failure to pay will result in the immediate suspension of services.

In case of delay of more than 15 days, legal penalties (applicable interest rate + fixed compensation of €40) may be applied.

The creations remain the full property of Web3 Consult until full payment has been made.

7. DELIVERY AND DELAYS

The delivery times indicated on the quotes are estimates .

They can vary depending on the complexity of the project, the responsiveness of the client, or the technical constraints encountered.

Web3 Consult cannot be held responsible for any delay due to a validation failure, a lack of communication or a case of force majeure.

8. LIMITED LIABILITY

Web3 Consult acts as an independent service provider.

Its liability is strictly limited to the amount of the service in question.

The company cannot be held responsible:

service interruptions, bugs or external technical failures;
data loss;
disputes between artists, buyers or third parties;
of fraudulent or non-compliant use of virtual spaces;
nor any indirect, financial or moral damages.

9. INTELLECTUAL PROPERTY

All elements produced by Web3 Consult (codes, mock-ups, 3D structures, videos, visuals, interfaces, texts, immersive models) are protected by intellectual property law .

Web3 Consult retains all copyright and proprietary rights to its creations.

The client obtains a personal, non-exclusive and non-transferable right to use their virtual space, intended for the presentation of their works or activities.

The works integrated into virtual spaces remain the exclusive property of their authors.

Any duplication, resale or unauthorized use of Web3 Consult creations is strictly prohibited and may result in civil and criminal prosecution.

10. CONFIDENTIALITY AND PERSONAL DATA (GDPR)

Web3 Consult only collects the data necessary for the management of its services: identity, contact, technical or artistic information.

The data is processed in accordance with Regulation (EU) 2016/679 (GDPR) and Monegasque legislation.

No data is sold or transmitted to third parties.

Each user can exercise their rights (access, rectification, deletion) by writing to: contact@web3-consult.io .

11. USE OF THE SITE AND DIGITAL SPACES

The user agrees to:

do not disrupt the operation of the site or galleries,
do not distribute illegal, defamatory or content contrary to public order,
to respect the reputation of Web3 Consult and the hosted artists,
not to misuse a space for unauthorized political, religious or commercial purposes.

Web3 Consult reserves the right to suspend any access in the event of abusive or fraudulent use.

12. PROTECTION OF CREATIONS AND CREDIT

The virtual and visual spaces created by Web3 Consult are protected.

Artists may use them for promotional purposes (website, social media, catalogues) provided they mention:

“Digital creation produced by Web3 Consult – Monaco”

Any commercial reuse, resale, modification or removal of the notice is prohibited without prior written consent.

13. ANTI-MISAPPROPRIATION CLAUSE

The client is prohibited from using the name, trademark, logo, visuals, or any content produced by Web3 Consult for advertising, political or competitive purposes without written authorization.

Any imitation, counterfeiting or exploitation of the "Web3 Consult" trademark will result in legal action.

14. COOKIES AND TRACEABILITY

The website web3-consult.io uses cookies that are strictly necessary for its proper functioning (anonymous statistics, improved navigation).

No advertising cookies or user profiling are used.

The user can configure their browser to refuse non-essential cookies.

15. FORCE MAJEURE

Neither party shall be held liable for any delay or failure due to an unforeseeable and external event (breakdown, cyberattack, strike, natural disaster, war, etc.).

16. AMICABLE SETTLEMENT OF DISPUTES

In the event of a dispute, the parties agree to seek an amicable solution before any legal proceedings.

In the absence of an agreement, the dispute will be brought before the competent courts of Monaco , which have sole jurisdiction.

17. PRIVACY POLICY (Summary)

Web3 Consult only collects the information necessary for project management.

No data is used for advertising purposes.

The data is deleted at the end of the project or at the client's request.

18. FINANCIAL DISCLAIMER CLAUSE

Web3 Consult does not handle any currency , whether fiat or digital (crypto-assets, tokens, NFTs, etc.).

No transactions are stored, controlled, or secured by the company.

Payments between artists, buyers or visitors are made outside the platform and under their sole responsibility.
